IMPORTANT: Drayly is currently in BETA testing phase. By using this software, you acknowledge and agree to the following:

  • This software is provided "AS IS" without warranty of any kind, express or implied
  • The software may contain bugs, errors, defects, or incomplete features
  • Service interruptions, data loss, or other issues may occur without notice
  • Features and functionality may change at any time without prior notice
  • You use this beta software at your own risk

LIMITATION OF LIABILITY: To the maximum extent permitted by law, Drayly (a DBA of RDK Services LLC), and their affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of this beta software.

WAIVER OF CLAIMS: By using this beta software, you waive any and all claims against Drayly (a DBA of RDK Services LLC) for any damages, losses, or injuries arising from your use of the software, including but not limited to claims based on negligence, strict liability, or breach of warranty.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Drayly (a DBA of RDK Services LLC) ("Drayly," "Company," "we," "us," or "our"), governing your access to and use of the Drayly trucking dispatch and fleet management platform, including any associated mobile applications, websites, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

Drayly provides a cloud-based trucking dispatch and fleet management platform that enables users to:

  • Manage shipments, loads, and deliveries
  • Track drivers and fleet assets in real-time
  • Process delivery orders and rate sheets using AI-powered document parsing
  • Manage driver payroll, time tracking, and HR functions
  • Communicate with drivers and customers through in-app messaging
  • Generate reports and analytics for business operations
  • Integrate with third-party payment processors for subscription billing

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to immediately notify Drayly of any unauthorized use of your account or any other breach of security. Drayly will not be liable for any loss or damage arising from your failure to comply with this section.

3.3 Account Approval

New administrator accounts are subject to approval by Drayly. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

4. Subscription and Payment Terms

4.1 Subscription Plans

The Service is offered on a subscription basis. Current subscription plans include Starter, Professional, and Fleet tiers, with varying features, user limits, and pricing as described on our pricing page.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle. All fees are non-refundable except as expressly set forth herein or as required by applicable law.

4.3 Payment Processing

Payment processing services are provided by Stripe, Inc. By using the Service, you agree to be bound by Stripe's Services Agreement (available at https://stripe.com/legal). You authorize us to charge your designated payment method for all fees due.

4.4 Price Changes

We reserve the right to modify our pricing at any time. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle.

4.5 Taxes

All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes, except for taxes based on Drayly's net income.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable federal, state, local, or international law or regulation
  • Transmit any material that is defamatory, obscene, or otherwise objectionable
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use any robot, spider, scraper, or other automated means to access the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Remove or alter any proprietary notices or labels on the Service
  • Use the Service to store or transmit malicious code
  • Engage in any activity that could damage, disable, or impair the Service

6. Data and Privacy

6.1 Data Ownership

You retain all rights to the data you submit to the Service ("Customer Data"). By using the Service, you grant Drayly a non-exclusive, worldwide, royalty-free license to use, copy, store, transmit, and display Customer Data solely to provide the Service to you.

6.2 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully.

6.3 California Consumer Privacy Act (CCPA)

If you are a California resident, you have certain rights under the California Consumer Privacy Act regarding your personal information. Please see our Privacy Policy for details on how to exercise these rights.

7. Intellectual Property

7.1 Drayly Property

The Service, including all content, features, and functionality, is owned by Drayly or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

Subject to these Terms, Drayly grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

7.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant Drayly a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

8. Third-Party Services

The Service may integrate with or contain links to third-party websites, services, or applications ("Third-Party Services"). Your use of Third-Party Services is governed by their respective terms and privacy policies. Drayly is not responsible for the content, accuracy, or practices of any Third-Party Services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. LOGICONTROL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Drayly does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Drayly does not warrant the accuracy, reliability, or completeness of any information provided through the Service, including AI-generated content or document parsing results.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOGICONTROL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.

IN NO EVENT SHALL LOGICONTROL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LOGICONTROL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Drayly and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your Customer Data.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or through the account settings in the Service. Upon termination, your right to use the Service will immediately cease.

12.2 Termination by Drayly

Drayly may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. We may also terminate or suspend your account if you breach these Terms.

12.3 Effect of Termination

Upon termination, all licenses granted to you under these Terms will terminate. You may request a copy of your Customer Data within 30 days of termination. After 30 days, we may delete your Customer Data without further notice.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS in Los Angeles County, California, in accordance with its Comprehensive Arbitration Rules. The arbitrator's decision shall be final and binding.

13.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Venue

For any claims not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Drayly regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. Drayly may assign these Terms without restriction.

14.5 Notices

We may provide notices to you via email, through the Service, or by posting on our website. You may contact us at legal@logicontrol.io.

14.6 Force Majeure

Drayly shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
